1. About us and these terms
RegisterInUK is the company formation and compliance brand of Kaplan Accountancy Ltd (Company No. 13041144, registered in England & Wales), 372C Green Lanes, London, N13 5PD, United Kingdom ("we", "us"). We are a Companies House registered Authorised Corporate Service Provider (ACSP), an HMRC registered agent and registered with the ICO. Kaplan Accountancy Ltd is a licensed member of the Association of Accounting Technicians (AAT) and follows AAT's professional and ethical standards.
These terms, our Refund & Cancellation Policy and our Privacy Policy form the contract between you ("you", "the customer") and us. By placing an order you confirm that you have read and accept them. If you are a consumer, nothing in these terms affects your statutory rights.
2. Our services
- Company formation: preparing and filing your incorporation with Companies House and providing your statutory documents digitally.
- ACSP identity verification: verifying the identity of directors and people with significant control (PSCs) as an Authorised Corporate Service Provider.
- Registered office, director service address and mail: a Central London registered office and service address, with statutory post scanned to your dashboard the same day. The Non-Resident & Privacy Pack includes forwarding of up to 5 items of original post per year at no extra charge; further items are forwarded at £2 per item.
- Accountancy and compliance: annual accounts, CT600, confirmation statements, VAT and payroll, as described in your chosen package.
- Client dashboard and Reggy: an online dashboard with compliance deadlines and documents, and Reggy, our AI assistant.
Each package is described on our website at the time of your order. Anything not listed is not included.
3. Ordering and contract
You place an order through our website. Your contract with us begins when we email you an order confirmation. We may decline an order, for example where we cannot complete identity or AML checks, and if so we will refund any payment for services not yet carried out.
4. Prices and payment
- Prices are shown in pounds sterling. We are not currently VAT registered, so no VAT is added to our prices.
- Our formation prices include the £100 Companies House incorporation fee. The price shown at the time of your order is the price you pay.
- Annual services are billed yearly in advance and monthly services monthly in advance. By ordering you authorise us to charge your card on each renewal date. We will notify you before annual renewals.
- If a payment fails, we may suspend the service until it is paid. We may change prices for renewing services by giving you at least 30 days' notice, and you may cancel before the change takes effect.
5. Your responsibilities
You agree to:
- give us accurate, complete and up-to-date information and documents, and tell us promptly of any change;
- respond to our requests in good time so we can meet filing deadlines;
- keep your own company records and comply with your legal duties as a director, shareholder or PSC, including any duty to keep Companies House information accurate. We file what you tell us and cannot check the truth of everything you provide;
- not use our services, our address or your company for any unlawful purpose, including fraud, money laundering, tax evasion, sanctions breaches or misleading use of our address.
Our formation-only services are administrative filing services. They are not legal, tax or investment advice unless we have separately agreed accountancy work with you.
6. Identity verification and anti-money laundering
As an ACSP and under the Money Laundering Regulations 2017, we must verify identity and carry out ongoing checks. We may refuse, suspend or end services if checks cannot be completed or we suspect unlawful activity. We may be legally required to report suspicions to the authorities without telling you, and we accept no liability for doing so in good faith.
7. Company formation
- Incorporation is usually accepted by Companies House within 24 hours once we hold a complete application and completed identity checks. This is a target, not a guarantee. Companies House decides on acceptance and timing.
- Your proposed company name is subject to availability and Companies House rules. We do not guarantee a name.
- If Companies House rejects an application, we will explain why and can resubmit once corrected.
8. Registered office and mail
- We will act as your registered office and service address for as long as you hold the relevant service and it is paid up.
- We scan official post from Companies House, HMRC and other government bodies, and legal or court correspondence, and aim to upload it to your dashboard on the day it arrives on a working day. Under the Non-Resident & Privacy Pack, forwarding of up to 5 original items per year is included at no extra charge; further items are forwarded at £2 per item. We may discard unsolicited or promotional post and do not accept parcels or items requiring signature.
- You are responsible for checking your dashboard and acting on your post. Some notices carry short deadlines.
- Your service address appears on the public register. We may disclose your details to regulators, law enforcement and courts where required by law.
- We may end the service on 30 days' notice, or immediately for unlawful use or non-payment, and you must then change your registered office at Companies House. If you do not, you are responsible for the consequences.
9. Accountancy and compliance services
- Our work covers the services in your package for one company. Extra work, such as late-filed periods, historic clean-up, investigations or additional companies, will be quoted separately.
- We rely on your records and information and need them by the cut-off dates we give you before each deadline. If they arrive late, you remain responsible for any late-filing penalty.
- We will not submit accounts or returns to HMRC or Companies House until you have approved them. You remain responsible for their accuracy and completeness.
- We work to the standards set by AAT's Code of Professional Ethics and keep client information confidential except where the law requires disclosure.
- If you cancel, your legal filing duties continue.
10. Reggy and website information
Reggy is an AI assistant and can make mistakes. Its answers, and the guides and general information on our website, are for general information and are not legal, tax or financial advice. Please check important points with a specialist member of our team before acting. We are not liable for decisions made solely on the basis of automated replies.
11. Suspension and termination
We may suspend or end services on written notice if you materially breach these terms and do not fix it within a reasonable time, if payment fails repeatedly, or if we are required to by law or our regulator. You may cancel as set out in our Refund & Cancellation Policy. Ending a contract does not affect rights that have already arisen.
12. Cancellation and refunds
Cancellation and refunds are governed by our Refund & Cancellation Policy, which forms part of these terms.
13. Our liability
- Nothing limits our liability for death or personal injury caused by our negligence, for fraud, or for anything that cannot legally be limited, including your statutory consumer rights.
- Consumers: we are responsible for foreseeable loss and damage caused by our failure to use reasonable care and skill or our breach of contract. We are not liable for loss that was not foreseeable.
- Business customers: we are not liable for indirect or consequential loss, or for loss of profit, revenue, goodwill or opportunity. Our total liability for any claim or series of connected claims is limited to the fees you paid us in the 12 months before the claim arose.
- We are not liable for penalties, refusals or delays caused by Companies House, HMRC or other third parties, or by information you did not provide or provided late or inaccurately.
- We maintain professional indemnity insurance in line with AAT's licensing requirements.
14. Data protection
We handle personal data as described in our Privacy Policy.
15. Intellectual property
The website, dashboard, guides and documents we create are owned by us or our licensors, and you may use them only to receive and use the services. Your company's statutory documents and records belong to you.
16. Events outside our control
We are not liable for delay or failure caused by events outside our reasonable control, including outages of Companies House, HMRC or internet services, strikes, or severe weather. We will tell you and take reasonable steps to limit the impact.
17. Complaints
Please contact support@registerinuk.com or 020 8054 15 19 and we will acknowledge within 2 working days and aim to resolve it within 14 days. If you remain unhappy with the outcome, you can raise it with AAT, our professional body, or, if you are a consumer, through an approved Alternative Dispute Resolution (ADR) provider.
18. General
- These terms and the documents they refer to are the whole agreement between us.
- We may update these terms for legal or service reasons. The version in force when you order applies to your order, and changes to renewing services take effect after we give reasonable notice.
- You may not transfer your contract without our consent. We may transfer ours to a successor of our business.
- If any part of these terms is found unenforceable, the rest continues to apply.
- Only you and we have rights under this contract.
- Governing law: these terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer living elsewhere, you also keep any mandatory consumer rights of your home country and may bring proceedings there.
